Pradeshiya Sanwardana Bank (RDB) is inviting applications from suitably qualified professionals to serve as Independent Non-Executive Directors to strengthen its Board of Directors. This opportunity is open to professionals committed to serving as independent directors and contributing to the advancement of RDB and shaping the future of Sri Lanka's banking sector.

Key Responsibilities & Role Overview

• Provide independent strategic oversight and governance on the Board of Directors and Board Sub-committees.

• Contribute executive expertise to critical areas including risk management, audit, financial reporting, corporate finance, and treasury operations.

• Guide policy formulation, strategic decision-making, and institutional growth aligned with the banking sector standards of Sri Lanka.

• Ensure compliance with the independence criteria set out in the CBSL Banking Act Direction No. 05 of 2024 and CBSL's Guidelines for Governance of State-Owned Banks.

Eligibility Criteria & Candidate Requirements

Basic Qualifications & Age

• Must be a citizen of Sri Lanka and not more than 70 years old.

• Must hold a Bachelor’s or higher educational qualification from a recognized university, or an equivalent professional qualification in fields critical to banking operations (such as risk management, audit, financial reporting, credit decision-making, corporate finance, treasury operations, human resources, strategy, IT, marketing, economics, law, etc.).

• Preference: Candidates with IT-related qualifications and experience/exposure will be given preference.

Experience Requirements

• Must have 15-20 years of progressively senior-level experience working at a large corporate, corporation, bank, public entity, consulting, or accounting firm.

• Not less than 5 years of the above experience must have been spent in a C-Suite or Partner role.

• Must have served as a member of the Board of Directors (Executive, Non-Executive, or Independent Director) of a large/medium-scale private or public sector entity for at least 3 years, or demonstrate progressive experience at a C-suite or professional level in their area of expertise.

Disqualifications (Potential applicants must NOT be):

• A public servant or government contractor.

• An employee, consultant, contractor, or current member of the Board of Directors of any licensed bank in Sri Lanka.

• Individuals having any personal financial interest in, or material business relationship with, the Bank, or close family members holding Key Management positions in RDB.

Mandatory Compliance

• Must have sufficient time to dedicate to the Bank’s Board of Directors and Sub-committees and qualify as a 'fit and proper' person as determined by the Central Bank of Sri Lanka (CBSL).

• Must meet all independence criteria set out in CBSL Banking Act Direction No. 05 of 2024 and CBSL's Guidelines for Governance of State-Owned Banks.
